Terms of Use

1. Who we are

Amely AI Limited ("Amely", "we", "our", "us") operates the website amely.ai (the "Platform"). We are a company registered in England and Wales, company number 16765190, with our registered address at 55 Brompton Park Crescent, London, SW6 1SW.

2. What Amely provides

Amely is a discovery platform for the advertising industry. It has two kinds of user:

• Directors, who create a profile and upload their work ("Content") so it can be found by people commissioning directors.
• Agency users, such as agency producers and creatives, who subscribe to search, filter and view directors and their work.

Amely also curates and tags publicly available commercial videos, mainly through Vimeo embeds, for discovery and research. Those videos remain the property of their owners and are streamed from their original source.

3. Using Amely

• You must be at least 18 years old to create an account.
• You must give accurate information and keep your login details secure.
• You must not copy, download or redistribute videos from Amely, whether uploaded or embedded.
• You must not use the Platform to infringe anyone's rights, harass others, scrape data or disrupt the service.
• We may suspend or close accounts that breach these Terms.

4. Directors: uploading your work

4.1 Your rights in your Content

You keep ownership of everything you upload, or it stays with whoever already owns it. Uploading to Amely does not transfer ownership to us.

4.2 Licence you give us

You grant Amely a non-exclusive, worldwide, royalty-free licence to host, store, encode, display, stream and create thumbnails and previews of your Content, and to show it in search results, for as long as it is on the Platform. This licence is only for running and promoting Amely. It ends when you delete the Content or your account, except for reasonable backup copies kept for up to 90 days.

4.3 Your promise about rights

Commercials are often owned by the brand, agency or production company rather than the director. By uploading, you confirm that:

• you own the Content or have permission from the rights-holder(s) to show it on a portfolio platform like Amely; and
• the Content does not infringe anyone's intellectual property, privacy or other rights, and does not breach any confidentiality obligation (for example, work that has not yet aired).

You are responsible for any claim that arises because this promise was untrue.

4.4 Content rules

• Videos of 90 seconds or less are treated as spots. Videos over 90 seconds and up to 45 minutes are treated as long-form pieces (for example short films, music videos and director's cuts). Videos over 45 minutes cannot be uploaded.
• Content must be your professional work. It must not be unlawful, hateful, sexually explicit or misleading.

4.5 Removing Content

If you believe Content on Amely infringes your rights, email hello@amely.ai with: a link to the Content, a description of the work and your rights in it, and your contact details. We will review the request promptly and may remove or hide the Content while we look into it. We may also remove Content that breaches these Terms without notice.

5. Director plans

5.1 Free

• Up to 10 spots.
• Long-form pieces are not available on Free.

5.2 Pro

• £9 per month, billed monthly, or £75 per year, billed annually.
• Unlimited spots and up to 5 long-form pieces.
• A custom URL, availability signal, verified badge and analytics, including which agencies have viewed your profile and work.
• "Unlimited" is subject to fair use. If an account stores an unusually large amount of Content (for example more than 500 spots), we may contact you to discuss it.

We may raise individual limits for some accounts at our discretion.

5.3 Downgrading or cancelling Pro

If your Pro plan ends, your account moves to Free. Content above the Free limits (long-form pieces, and spots beyond 10) is hidden, not deleted, and kept for 90 days. You choose which 10 spots stay visible when you downgrade, and you can change your selection at any time. If you don't choose, your 10 most recent spots stay visible. If you resubscribe within 90 days, hidden content reappears. After 90 days it may be permanently deleted.

6. Agency subscriptions

Agency users need an active paid subscription. It gives access to Amely's search, filtering, tagging and discovery tools, including advanced filters and AI recommendations.

Free trial. We may offer new agency users a 30-day free trial. If you do not cancel before it ends, your paid subscription starts automatically and you will be charged £29.99 per month from 30 days after sign-up, and on the same date each month after that. Cancelling during the trial means you are not charged.

Visibility to directors. When you view a director's profile or work, the director may see the name of your agency in their analytics. They will not see your personal name unless you contact them.

7. Payment, renewal and cancellation

• Payments are processed securely by Stripe. By subscribing, you authorise Amely AI Limited to charge your chosen payment method the amount shown at checkout.
• Subscriptions renew automatically each billing period unless cancelled. You can cancel at any time in your account settings, and keep access until the end of the current billing period.
• Fees are non-refundable except where the law requires otherwise.
• If you are a consumer, you have 14 days after subscribing to cancel. If you ask us to start the service straight away and then cancel within those 14 days, we may charge for the service provided up to that point.

8. Intellectual property

All Amely trademarks, brand names and materials we create (including design, code, tags and database structure) belong to Amely AI Limited. Directors' Content and embedded videos remain the property of their respective rights-holders.

9. Limitation of liability

Amely is provided "as is". We do not guarantee that the Platform will be uninterrupted or error-free, or that using it will lead to work or bookings. To the extent permitted by law, we are not liable for loss of profit, business, data, or any indirect or consequential loss. Nothing in these Terms limits liability that cannot legally be limited.

Personal data is processed in line with our Privacy Policy.

10. Changes to these Terms

We may update these Terms from time to time. If we make significant changes, we will tell you by email or on the Platform before they take effect. The "Last updated" date above always shows the current version.

11. Governing law

These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the UK, you may also bring proceedings in your local courts.
